1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and Step Up ("we," "our," or "us") governing your access to and use of the Step Up website, platform, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Step Up provides a platform that connects individuals and organizations for community help and volunteer opportunities. The Service allows users to (a) request or offer community help (e.g., tasks, advice, learning), (b) find and apply to volunteer opportunities posted by organizations, and (c) create and manage organizations and volunteer opportunity listings. We may modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Eligibility

You must be at least 13 years of age (or the age of majority in your jurisdiction, if higher) to use the Service. By using the Service, you represent that you meet these requirements and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

4. Account Registration and Security

You may need to create an account to access certain features. You agree to provide accurate, current, and complete information and to update it as needed. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us promptly of any unauthorized use of your account.

5. User Content and Conduct

You may submit content through the Service (e.g., organization details, opportunity listings, community requests or offers, application messages) ("User Content"). You retain ownership of your User Content. By submitting User Content, you grant us a non-exclusive, royalty-free, worldwide, sublicensable license to use, store, display, and distribute your User Content in connection with operating and providing the Service.

You agree that you will not:

Violate any applicable law or regulation.
Infringe any third party's intellectual property, privacy, or other rights.
Post false, misleading, or fraudulent content.
Harass, abuse, defame, or harm others.
Transmit malware, spam, or other harmful or unauthorized code or content.
Attempt to gain unauthorized access to the Service, other accounts, or our systems.
Use the Service for any illegal or unauthorized purpose.

We reserve the right to remove User Content and suspend or terminate accounts that we determine, in our sole discretion, violate these Terms or are harmful to the Service or other users.

6. Organizations and Volunteer Opportunities

Organizations and volunteer opportunity listings may be subject to review before being published. We do not guarantee the accuracy, quality, or safety of any organization or opportunity. Users who post opportunities are solely responsible for their listings and for their interactions with volunteers. We are not a party to any agreement between organizations and volunteers and are not responsible for the conduct of any user or third party.

7. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. YOUR USE OF THE SERVICE AND ANY RELIANCE ON USER CONTENT OR THIRD-PARTY CONDUCT IS AT YOUR SOLE RISK.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STEP UP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

9. Indemnification

You agree to indemnify, defend, and hold harmless Step Up and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Service, (b) your User Content, (c) your violation of these Terms or any law, or (d) your violation of any third party's rights.

10. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice. You may stop using the Service at any time. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnification, and governing law) will survive termination.

11. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts. Nothing in these Terms limits your right to seek relief in any applicable jurisdiction for consumer protection or other mandatory rights.

12. General

These Terms, together with our Privacy Policy and any other policies we publish on the Service, constitute the entire agreement between you and Step Up regarding the Service. Our failure to enforce any right or provision shall not constitute a waiver. If any provision is held invalid or unenforceable, the remaining provisions will remain in effect. We may assign these Terms; you may not assign them without our prior written consent.

We may modify these Terms at any time. We will post the updated Terms on this page and update the "Last updated" date. Your continued use of the Service after changes constitutes acceptance. We encourage you to review these Terms periodically.
